These terms of use (Terms of Use) contain important information about this Rio Tinto Local Supplier portal (Portal). To continue using this Site, you must agree to these Terms of Use by checking the box below.
2. Definitions.
Unless otherwise specified or required by context, any reference on this Site to:
(a) The Rio Tinto group means the structure of the dual-listed company incorporating Rio Tinto plc and Rio Tinto Limited and comprising:
(i) any corporate entity related to Rio Tinto plc or Rio Tinto Limited;
(ii) any unincorporated joint venture in which Rio Tinto plc or Rio Tinto Limited or any corporate entity related to Rio Tinto plc or Rio Tinto Limited has a 50% interest; and
(iii) any corporate entity or joint venture not incorporated into a partnership managed by Rio Tinto plc or Rio Tinto Limited or any corporate entity related to Rio Tinto plc or Rio Tinto Limited.
(b) "You" or "your" means the relevant person or entity accessing all or part of this Site.
3. General
Rio Tinto has created this Portal so that companies can view Expressions of Interest (EOIs) for goods and/or services that Rio Tinto needs from time to time, and so that eligible companies (i.e. those that have completed the registration process) can submit responses to such EOIs.
Rio Tinto may select, modify, update or remove EOIs posted on the site, without any obligation to publish all current EOIs.
Rio Tinto will decide, in its sole discretion, which companies that have responded to an EOI will be invited to respond to a request document issued by Rio Tinto for the supply of the goods/services it needs which may be through a Request for Information (RFI), a Request for Proposal (RFP), a Request for Tender (RFT), a request for quotation (RFQ) or any other type of request document issued by Rio Tinto.
Uploading or posting a response to an EOI does not guarantee that Rio Tinto will invite you to respond to a request document or that Rio Tinto will ultimately send you a purchase order or enter into a contract with you. Rio Tinto reserves the exclusive right, in its absolute discretion with respect to these matters and shall have no liability to you as a result of any decision whether or not to award you a contract.
However, if your response to an application document is satisfactory, you must comply with other conditions of Rio Tinto before you can supply goods or services to Rio Tinto, including undertaking a supplier qualification assessment (at your expense).
As one of Rio Tinto's potential suppliers, you play a key role in helping Rio Tinto meet its commitments. You must ensure that you comply with or act in a manner consistent with Rio Tinto's policies entitled "Our Way of Working", "The Supplier Code of Conduct" and the "Business Integrity Standard", which are available at:

4. You must keep your account data secure
Where Rio Tinto provides you with a user identification code, password or other information as part of Rio Tinto's security procedures to enable you to access areas of this Site or other content or services, you must treat such user identification code, password and information as confidential and not disclose them to any other person.
Rio Tinto reserves the right to disable any user identification code or password, whether chosen by you or assigned by Rio Tinto, at any time, if, in Rio Tinto's reasonable opinion, you have breached any of the provisions of these Terms of Use.
If you know or suspect that someone other than you knows your user identification code or password, you must immediately notify Rio Tinto.
5. What Rio Tinto can do
Rio Tinto:
(a) you may modify these Terms of Use in your sole discretion at any time by posting a revised version of the Terms of Use on this Site. Each time you wish to use this Portal, please refer to these Terms of Use to ensure that you understand the terms that apply at that time;
(b) does not warrant that this Site, or any content on it, will always be available or uninterrupted. Rio Tinto may suspend, withdraw or restrict the availability of all or part of this Site in its sole discretion at any time; and
(c) you may update and modify this Site at your sole discretion at any time.
6. Use of this Portal
When using this portal and participating in any EOI available on it, you must not:
(a) create or impersonate any person or entity, or misrepresent your or their identity in order to act;
(b) make false or misleading statements, statements, or other representations;
(c) violate any applicable law, including anti-bribery and corruption laws.
(d) do anything that disrupts or may disrupt access to or interfere with the proper working of this site or any transaction conducted on it;
(e) misuse this site by knowingly introducing viruses, trojan horses, worms, "logic bombs" or other material that is malicious or technologically harmful;
(f) attempt to gain unauthorized access to any portion of this Site that is restricted to general access or to which you do not have access, to the server on which this Site is stored, or to any server, computer, or database connected to this Site;
(g) attack this Site via a denial-of-service attack or a distributed denial-of-service attack;
(h) upload, post or send any "spam material" or any other form of mass communication;
(i) undermine or attempt to undermine the security or integrity of the computer systems or networks associated with this Site or Rio Tinto's computer systems;
(j) attempt to decompile or reverse engineer any portion of this Site;
(k) take any action that infringes or infringes Rio Tinto's intellectual property rights in any way; or
(l) upload or post any content that violates applicable laws or the rights of any other person, including copyrighted material, defamatory, threatening, or obscene material, or material protected by trade secrets or privacy.
If Rio Tinto, in its reasonable opinion, believes that you have breached or attempted to breach any of these provisions, Rio Tinto reserves the right to:
- report this to the relevant law enforcement or regulatory authorities (if applicable) and cooperate with those authorities, including disclosing any personal or business information you have provided to us (including your identity) if requested; and
- immediately remove your access to and right to use this Portal and prevent you from re-registering.
7. Indemnification and Exclusion of Liability
To the extent permitted by law, Rio Tinto:
(a) excludes all implied conditions, warranties, representations or other terms that may apply to this Site or any content on this Site; and
(b) will not be liable to you for any loss or damage (including indirect or consequential losses), whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising out of or in connection with:
(i) your access to, termination of, use of, or inability to use this Site;
(ii) use of or reliance on any content displayed on this Site; and
(iii) breach of these Terms of Use or any other legal obligation you may have, and you agree to hold harmless, indemnify and hold harmless Rio Tinto (and its directors, employees, agents, contractors and related entities) from any loss or damage suffered.
8. Intellectual Property
Rio Tinto is the owner or licensee of all intellectual property rights in this Site and any content published on it. You may not reproduce, alter, modify or disseminate any part of the content of this Site (including any trademarks or logos) without the prior written consent of Rio Tinto.
All intellectual property rights are expressly reserved by their respective owners. In the event of a breach of this provision, your right to use this Portal will cease immediately.

Where this portal contains links to other websites and resources provided by third parties (which may be amended by Rio Tinto from time to time), such links are provided for informational purposes only and should not be construed as an endorsement or approval by Rio Tinto of the content of such linked websites or resources, or any information you may obtain from them. Rio Tinto has no control over such websites and resources and is not responsible for the security, content, accuracy or any other aspect of such websites or resources, or for the information obtained from them.
10. Links to this Portal
A link to this site may not be established on any website without the prior written consent of Rio Tinto, which consent is at Rio Tinto's sole discretion and on such terms and conditions as Rio Tinto deems appropriate. Rio Tinto reserves the right to withdraw any consent given without notice.
11. Limitation of liability for the information on the Portal
Although Rio Tinto makes reasonable efforts to update the information on this Site, Rio Tinto makes no representations, warranties or guarantees, either express or implied, that the content on this Site is accurate, complete, up-to-date or useful for any particular purpose.

Our purpose in collecting, processing and transferring your personal data is to register your company as a potential supplier, receive your responses to EOIs, manage the supplier evaluation and selection processes, and offer you additional opportunities to supply goods or services to Rio Tinto. Our legal basis for collecting, processing and transferring your personal data arises from your consent. You are not required to give us your consent for us to collect, process or transfer your personal and sensitive data; however, if you do not give us such consent, we will not be able to process your registration application and record your EOI responses.

THE AGENCY FOR ACCESS TO PUBLIC INFORMATION, in its capacity as the Control Body of Law No. 25,326, has the power to attend to complaints and claims filed by those whose rights are affected due to non-compliance with current regulations on the protection of personal data.
Rio Tinto will process personal data in accordance with Law 25,326 on the Protection of Personal Data, Decree 1558/2001 and other applicable regulations. 13. Disclosure of Commercial Data
You grant Rio Tinto the right to share information related to your business, in particular business contact details and capacity information that has been provided through the portal (Business Information) with other companies in Rio Tinto's supply chain. These companies may use your Business Information to contact you regarding additional opportunities to supply goods or services to them as part of Rio Tinto's broader supply chain. If Business Information includes individual contact details of its owners or staff members (which are personal data under Rio Tinto's Data Privacy Rule), Rio Tinto expects you to: (a) inform the relevant persons of the Supplier's Privacy Statement (referred to in clause 12) and (b) have your contact details disclosed to other companies in Rio Tinto's supply chain in accordance with with this clause. If you do not wish to share your business information, please notify Rio Tinto in writing at "rincon.proveedores@riotinto.com".
14. Rights you grant us to use the material you upload or post on this Site
You grant Rio Tinto a worldwide, irrevocable, non-exclusive, royalty-free license to use, edit, reproduce, adapt, publish, translate and distribute by any means now known or hereafter any information or material you have provided to us through this Site that does not contain personal data, in order to assess your ability to supply goods and services to Rio Tinto and to enable Rio Tinto to collect, Store and analyze this information or material for internal analysis and reporting purposes. Any external reports we prepare from the information you have provided to us will only contain aggregated, non-identifiable information.
15. Rio Tinto is not responsible for viruses
Rio Tinto does not warrant that this Site is secure and free of errors or viruses. You should use your own antivirus protection software. You are responsible for configuring your information technology, computer programs, and platform to access this Portal.
16. Governing Law
These Terms of Use are governed by the laws of the Republic of Argentina. You agree to submit to the jurisdiction of the courts of the Autonomous City of Buenos Aires in relation to any matter relating to these Terms of Use.
17. Portal Location
This portal is hosted in São Paulo, Brazil.
